(International Contracts (Law 620

Course Overview

Welcome to International Contracts.This course covers the legal aspects of contracts for the international sale of goods in the Middle East under the United Nations Convention. The course will discuss the international contract practice and its interaction with the various applicable sources assessing the role of each factor influencing the contract (i.e. contractual regulation, national law and transnational sources) identifying the relevant legal problems of international contracts and the proposed solutions. Topics include the applicability of the convention and its most important substantive provisions, including contract formation, choice of forum, choice of law, warranties, risk of loss, and dispute resolution

International Contracts introduces students to the basics of terminology and principles underlying international law, contract law, the international sale of goods, and their application to the cross-border transactions. After laying the foundation on key international law and contracting principles, the course then introduces students to the United Nations Convention on the International Sale of Goods (CISG) and examines the concepts of contract law in a comparative perspective. Students will obtain a working knowledge of different transactions and apply these concepts to international commercial practice specifically under the context of US and KSA law

 

:Course Learning Outcomes

  • Recognize the issues related to precontractual liability, agency, contract interpretation, remedies for nonperformance, and the effect of supervening events on contracts
  • Apply the basics of terminology and concepts of contract law in a comparative perspective to international commercial practice
  • Demonstrate the basic knowledge of international contract law instruments and the contract law rules of the world’s major legal systems as well as the purpose and meaning of important contract clauses regularly used in international commercial contracts
  • Draft examples of international contracts
